These Terms and Conditions (“Terms”) govern your use of the Wild Mining gas flare listing service (“Service”). By submitting a listing, you (“Operator,” “you,” or “your”) agree to be bound by these Terms.
1. SERVICE DESCRIPTION
1.1 What We Do Wild Mining operates a marketplace platform connecting oil and gas operators with flared or stranded natural gas to Bitcoin mining operators seeking gas sources. We act solely as a facilitator and broker. This site is owned and operated by Blue Hawk Energy Solutions and representatives from Blue Hawk will contact you with opportunities.
1.2 What We Don’t Do We do not:
- Purchase gas directly from operators
- Guarantee any sales or buyer interest
- Provide legal, tax, or regulatory advice
- Assume liability for operational issues
2. ELIGIBILITY AND REPRESENTATIONS
2.1 Legal Authority By submitting a listing, you represent and warrant that you:
- Have legal authority to sell, lease, or contract the gas described
- Own or control the mineral rights, surface rights, or appropriate easements
- Are in compliance with all applicable federal, state, and local regulations
- Have obtained all necessary permits for gas extraction and sale
- Are not subject to any agreements that would prohibit listing on our platform
2.2 Accurate Information You agree to provide accurate, current, and complete information about your gas source, including but not limited to:
- Gas volume (MCF/day)
- BTU content
- Location and access details
- Any hazardous conditions (H2S, other contaminants)
- Regulatory compliance status
- Any existing contracts or encumbrances
2.3 Updates You agree to promptly update your listing if any material information changes or if the gas source becomes unavailable.
3. LISTING TYPES AND FEES
3.1 Free Listings
- Basic site information displayed
- No upfront cost
- Subject to success fees upon completed transaction (see Section 4)
3.2 Premium Listings ($2,500)
- Enhanced visibility and professional media content
- One-time fee due upon upgrade
- Non-refundable once production services commence
- Subject to success fees upon completed transaction (see Section 4)
3.3 Enterprise Listings ($10,000)
- Comprehensive marketing package with dedicated support
- One-time fee due upon upgrade
- Non-refundable once production services commence
- Subject to success fees upon completed transaction (see Section 4)
4. SUCCESS FEES
4.1 Fee Structure Upon execution of a binding Gas Purchase Agreement facilitated through Wild Mining, Operator agrees to pay Wild Mining a success fee according to the following schedule:

4.2 Payment Terms Success fees are due within five (5) business days of execution of a Gas Purchase Agreement, regardless of:
- Implementation timeline
- Date of first gas delivery
- Operational delays
- Buyer performance
4.3 Payment Method Payment shall be made via wire transfer or may be deducted from first month’s gas revenue if agreed in writing.
4.4 Exclusivity Period If Wild Mining introduces you to a buyer, and you enter into an agreement with that buyer within 24 months of introduction (whether through our platform or directly), the success fee applies.
5. DATA USAGE AND PRIVACY
5.1 Information Display You authorize Wild Mining to display your listing information on our platform and in marketing materials. Contact information will be protected and only shared with qualified, paying subscribers or upon your explicit approval.
5.2 Aggregated Data We may use aggregated, anonymized data from listings for market analysis, reporting, and platform improvements.
5.3 Third-Party Sharing We will not sell your personal contact information. We may share listing details with:
- Qualified Bitcoin mining operators (platform subscribers)
- Our operational partners for due diligence purposes
- Legal authorities if required by law
5.4 Data Retention Your listing data will be retained for the duration of your active listing plus 24 months, or as required by law.
6. INTELLECTUAL PROPERTY
6.1 Your Content You retain ownership of all photos, videos, documents, and data you submit. By submitting content, you grant Wild Mining a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating the Service.
6.2 Professional Media For Premium and Enterprise listings, media content created by Wild Mining (videos, photos, marketing materials) remains our intellectual property but you receive a perpetual license to use it for your own marketing purposes with attribution.
6.3 Platform Content All Wild Mining branding, platform design, software, and original content remains our exclusive property.
7. LISTING APPROVAL AND REMOVAL
7.1 Approval Process All listings are subject to Wild Mining’s approval. We reserve the right to reject any listing that:
- Contains false or misleading information
- Violates applicable laws or regulations
- Infringes on third-party rights
- Does not meet our quality standards
- Poses safety or environmental concerns
7.2 Operator Removal You may remove your listing at any time by written notice to support@wildmining.com. Removal does not affect obligations for any deals in progress or the 24-month exclusivity period for introduced buyers.
7.3 Wild Mining Removal We may remove your listing immediately without notice if:
- You breach these Terms
- We receive complaints about inaccurate information
- The site is sold or no longer available
- You fail to respond to buyer inquiries within 72 hours
- Legal or regulatory issues arise
8. BUYER INTERACTIONS
8.1 Professional Conduct You agree to respond promptly and professionally to inquiries from qualified buyers introduced by Wild Mining.
8.2 Site Access If a buyer wishes to visit the site, you agree to provide reasonable access during business hours with appropriate safety protocols.
8.3 No Direct Dealing During the listing period and for 24 months after any buyer introduction, you agree not to circumvent Wild Mining by dealing directly with introduced buyers to avoid success fees.
8.4 Due Diligence You agree to cooperate with reasonable due diligence requests from serious buyers, including providing gas analysis, flow data, and regulatory documentation.
9. DISCLAIMERS AND LIMITATIONS OF LIABILITY
9.1 No Guarantees WILD MINING MAKES NO GUARANTEES REGARDING:
- Finding a buyer for your gas
- Timeline for sale
- Sale price or terms
- Buyer performance or reliability
- Accuracy of buyer-provided information
9.2 As-Is Service THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.3 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILD MINING’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES YOU HAVE PAID TO WILD MINING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.4 Excluded Damages WILD MINING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
9.5 Operator Responsibility You are solely responsible for:
- Compliance with all applicable laws and regulations
- Safety of your site and operations
- Accuracy of all information provided
- Environmental compliance
- Any contracts you enter into with buyers
- Tax implications of gas sales
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Wild Mining, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- Your breach of these Terms
- Your violation of any law or third-party rights
- Inaccurate or misleading information in your listing
- Site conditions, safety issues, or environmental problems
- Disputes with buyers you are introduced to
- Your operations and business activities
11. REGULATORY COMPLIANCE
11.1 Operator Obligations You represent that your operations comply with:
- EPA regulations and air quality standards
- State oil and gas commission requirements
- Local zoning and land use regulations
- OSHA workplace safety standards
- Department of Transportation regulations (if applicable)
- Any other applicable federal, state, or local laws
11.2 Flaring Permits You confirm that your flaring activities are permitted or exempt under applicable regulations, and you will notify Wild Mining immediately if your permit status changes.
11.3 Environmental You represent that your site has no outstanding environmental violations, cleanup orders, or contamination issues that would affect a buyer’s ability to operate.
12. CONFIDENTIALITY
12.1 Confidential Information Both parties agree to keep confidential any non-public information shared during the listing and transaction process, including:
- Financial terms and negotiations
- Proprietary operational data
- Buyer and seller identity (until disclosure is authorized)
- Technical specifications beyond what’s in the public listing
12.2 Exceptions Confidentiality obligations do not apply to information that:
- Is or becomes publicly available
- Was already in recipient’s possession
- Is required to be disclosed by law
- Is independently developed
13. TERM AND TERMINATION
13.1 Term These Terms begin when you submit your first listing and continue until terminated by either party.
13.2 Termination by Operator You may terminate by removing all listings and providing written notice. Termination does not affect:
- Success fee obligations for deals in progress
- The 24-month exclusivity period for introduced buyers
- Any Premium/Enterprise fees already paid
13.3 Termination by Wild Mining We may terminate your access immediately if you breach these Terms. Upon termination:
- Your listings will be removed
- Outstanding fees become immediately due
- You lose access to buyer inquiries and platform features
13.4 Survival Sections regarding fees, indemnification, liability limitations, and confidentiality survive termination.
14. DISPUTE RESOLUTION

14.2 Arbitration Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association’s Commercial Arbitration Rules, conducted in Milwaukee, Wisconsin.
14.3 Class Action Waiver You agree that disputes will be resolved on an individual basis and waive any right to participate in class actions or collective proceedings.
14.4 Exceptions Either party may seek injunctive relief in court for intellectual property infringement or breach of confidentiality.
15. GENERAL PROVISIONS
15.1 Entire Agreement These Terms constitute the entire agreement between you and Wild Mining regarding the Service and supersede all prior agreements.
15.2 Amendments We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Service after changes constitutes acceptance. Material changes affecting fees will require your explicit consent.
15.3 Assignment You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor entity.
15.4 Severability If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
15.5 Waiver Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
15.6 Governing Law These Terms are governed by the laws of Wisconin, without regard to conflict of law principles.
15.7 Force Majeure Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, government actions, or communication network failures.
15.8 Independent Contractors The relationship between you and Wild Mining is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
